1. Agreement
These Terms of Service ("Terms") form a binding agreement between HumanAudit Inc. ("we", "us", "HumanAudit"), a Delaware corporation, and any person or organisation who accesses iso42001toolkit.com, creates an account, or purchases any product offered through the site ("you", "Customer", "Buyer"). By using the site or purchasing a product, you accept these Terms in full.
If you do not accept these Terms, do not use the site and do not complete a purchase.
2. What we provide
HumanAudit operates the website iso42001toolkit.com and offers for sale downloadable documentation products relating to ISO/IEC 42001:2023 (AI Management Systems). Current product tiers:
- Starter Tier, core documentation pack (one-time purchase)
- Professional Tier, full implementation kit (one-time purchase)
- Audit-Ready Tier, certification launch pack (one-time purchase)
Each tier is described on the site at time of purchase. What is included in each tier is defined by the product description visible at checkout.
3. Nature of the content, not legal or professional advice
The content of all HumanAudit products is educational and reference material only. It is not:
- legal advice;
- regulatory advice;
- accounting, tax, or professional advice of any kind;
- a substitute for qualified legal, compliance, or management consultancy;
- a guarantee of ISO 42001 certification or of any specific regulatory outcome.
You are responsible for:
- adapting the content to your organisation's jurisdiction, industry, risk profile, and applicable law;
- obtaining qualified legal and compliance counsel before relying on any document from the toolkit for regulatory, contractual, or certification purposes;
- verifying that content remains current against the evolving regulatory landscape (ISO 42001 revisions, EU AI Act guidance, NIST AI RMF versions, Microsoft SSPA DPR changes, the Colorado AI Act, and other regional AI laws).
4. Accounts and security
If the site uses account registration:
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- Notify us promptly at support@iso42001toolkit.com if you believe your account has been compromised.
5. Licence to use the products
Subject to payment of the applicable fee and compliance with these Terms, we grant you a non-exclusive, non-transferable licence on the terms below. The licence you receive depends on the product you purchased.
5.1 Organisation Licence — Starter, Professional and Audit-Ready tiers
A perpetual licence to use the purchased documents within a single organisation (and its controlled affiliates) for that organisation’s own ISO 42001 implementation, certification, and ongoing maintenance. Updates during the 24-month update window are included.
This licence does not permit use in the delivery of paid services to third parties. If you are a consultant, consultancy, trainer, or certification body, see 5.2 to 5.4 and licensing for consultants.
5.2 Practitioner Licence — annual
A licence, for the period paid for, permitting one named individual to use, adapt and deploy the documents in the course of paid advisory or implementation engagements for that individual’s clients. Under this licence:
- You may adapt the documents to each client’s context and deliver the adapted documents to that client as an engagement deliverable.
- The receiving client obtains a perpetual right to use those delivered documents for their own AI management system, including retaining them after your engagement ends and presenting them to a certification body.
- The receiving client does not receive the source toolkit, the right to use it on further engagements, or any right to redistribute it.
- You may state that you use the HumanAudit toolkit. You may not state or imply that HumanAudit endorses, certifies, has reviewed, or is a party to your engagement.
- The licence is personal to the named individual and lapses if not renewed. Documents already delivered to clients before lapse are unaffected.
5.3 Practice Licence — annual
As 5.2, extended to a named list of individuals within one legal entity, up to the seat count purchased. Seats may be reassigned when a person leaves, but not shared concurrently. Affiliate entities are not included unless separately agreed in writing.
5.4 Certification bodies and auditors
Certification bodies, accreditation bodies and their auditors may purchase a licence for internal auditor competence, training and calibration purposes in support of ISO/IEC 42006:2025.
Nothing in any HumanAudit licence permits a certification body to provide management system consultancy to an organisation it audits or certifies. Responsibility for compliance with ISO/IEC 17021-1 impartiality requirements rests entirely with the certification body.
5.5 Restrictions applying to all licences
You may not:
- resell, redistribute, sublicence or publish the documents, or any substantial derivative of them, as a template set, toolkit, or documentation product — whether free or paid, and whether or not under your own brand;
- remove the “Educational use only, not legal advice” notice or the trademark acknowledgements from any document, including from documents delivered to a client;
- use the documents as training data for any AI model or product that competes with the HumanAudit toolkit;
- use HumanAudit trademarks, logos, or brand assets in a way that implies endorsement, partnership, or an ongoing relationship beyond the licence you purchased.
The distinction in 5.5 is between delivering an implementation to a client, which 5.2 and 5.3 permit, and republishing the toolkit as a product, which no licence permits.
6. Fees, currency, and payment
- All prices are displayed in US Dollars (USD) unless explicitly stated otherwise. Applicable sales tax, VAT, or GST may be added at checkout depending on your billing jurisdiction; tax is calculated and remitted by Stripe Tax where configured for your jurisdiction.
- Payment is processed by Stripe. By purchasing, you also agree to the applicable processor's terms.
- Prices may change from time to time; the price in effect at your purchase or at the start of your current subscription term governs that term.
7. Refunds
Refunds are governed by our separate Refund Policy, available at iso42001toolkit.com/refund-policy. By purchasing, you accept the Refund Policy as in force at the time of purchase.
8. Updates and changes to products
HumanAudit commits to providing updates to purchased products for 24 months from the date of purchase, released when material changes occur in the underlying standards and regulations (ISO/IEC 42001 revisions; ISO/IEC 42006, 42002, 42003 developments; EU AI Act guidance; Microsoft SSPA DPR; NIST AI RMF versions; GPAI Code of Practice; US state laws such as the Colorado AI Act). Updates are best-effort and at our reasonable discretion as to scope and timing. They are delivered through the same access channel used for the original download.
After 24 months, you retain perpetual use of the version(s) you have received, but receive no further updates unless you purchase a renewal or upgrade.
9. Intellectual property
HumanAudit and its licensors retain all intellectual property rights in the products, including all copyright, trademarks, trade dress, and know-how. The licence in Section 5 does not transfer ownership.
Third-party trademarks (including but not limited to ISO®, IEC®, Microsoft®, Azure®, AWS, Anthropic, Google, Vertex AI, SageMaker, MLflow) are the property of their respective owners. Use of these names in our products is for identification and mapping purposes only and does not imply endorsement.
10. Disclaimers and warranties
The site and the products are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, HumanAudit disclaims all warranties, express or implied, including:
- merchantability and fitness for a particular purpose;
- non-infringement;
- accuracy, completeness, or currency of the content;
- any warranty that use of the products will result in successful ISO 42001 certification, regulatory compliance, or any specific business outcome.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply only to the extent permitted by law. Where mandatory consumer-protection law grants you non-excludable rights (for example, consumers in the European Union, United Kingdom, Australia, or the State of California), those rights remain unaffected.
11. Limitation of liability
To the maximum extent permitted by applicable law:
- HumanAudit's aggregate liability arising out of or relating to these Terms or any product purchase is limited to the fees you paid to HumanAudit in the 12 months preceding the event giving rise to the claim (or for subscription tiers, in the most recent 12-month period).
- HumanAudit will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits, revenue, goodwill, or data; or business interruption, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.
Carve-outs. Nothing in these Terms limits or excludes liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- our wilful misconduct or gross negligence;
- any other liability that cannot lawfully be limited or excluded under applicable law (including mandatory consumer-protection rules in your jurisdiction).
12. Indemnification
You agree to defend, indemnify, and hold harmless HumanAudit, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your misuse of the products (including violation of Section 5);
- your representations to third parties (End Clients, auditors, regulators) that overstate what the products warrant;
- your handling of Personal Data under GDPR, UK GDPR, CCPA/CPRA, or other applicable privacy law where the products are used in your operations.
13. Termination
We may suspend or terminate your access to the site and/or your licence(s) if you materially breach these Terms and fail to cure within 30 days of written notice. For subscription tiers, we may terminate immediately for non-payment after reasonable notice.
Upon termination:
- you must stop using the products for any new purpose;
- you may continue to use previously-downloaded versions for your organisation's internal use already underway (for one-time tiers) ;
- you remain liable for fees already accrued.
14. Privacy
Our handling of Personal Data is governed by the separate Privacy Policy at iso42001toolkit.com/privacy-policy. By using the site, you consent to that Privacy Policy.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA (our state of incorporation), excluding its conflict-of-laws rules.
Disputes will be resolved through good-faith negotiation first. If not resolved within 30 days, disputes will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in Wilmington, Delaware, conducted in English, before a single arbitrator. Each party bears its own costs unless the arbitrator awards otherwise.
Mandatory consumer rights. For consumers resident in the European Union, the United Kingdom, Australia, the US State of California, or other jurisdictions that grant non-waivable consumer-protection rights:
- you retain all such non-waivable rights notwithstanding the Delaware choice-of-law above;
- to the extent those rights conflict with arbitration or with Delaware substantive law, the mandatory local rules apply;
- EU consumers retain the right to bring proceedings in the courts of their country of residence under Regulation (EU) 1215/2012 (Brussels I recast) to the extent applicable.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email (for account holders) and/or by a prominent site banner for at least 30 days. Continued use after the effective date of changes constitutes acceptance. If you do not accept a material change, you may terminate your account; for subscription tiers, termination under this clause entitles you to a pro-rata refund of the unused portion of your current term.
17. General provisions
- Entire agreement. These Terms, the Privacy Policy, the Refund Policy, and (where applicable) the WL-02 Licence Terms constitute the entire agreement between you and HumanAudit regarding the site and products.
- Severability. If any provision is held unenforceable, the remainder continues in full force.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms (including to a successor in a merger, acquisition, or sale of assets).
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Notices. Notices to us: support@iso42001toolkit.com. Notices to you: to the email address on file for your account.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (natural disasters, war, civil unrest, widespread internet outages, governmental action).
